“衆籌”成了熱詞，尤其是咖啡館、書吧等小店，衆籌的形式越來越多。然而，記者發現，2012年合肥的首家衆籌咖啡館微時光早已易主，衆股東的本錢投入幾乎都沒拿回。這個咖啡館由在上海工作的合肥人Kevin發起，曾因“很多人的夢想”吸引了86位股東。據一位股東介紹，人多嘴雜、意見不統一是“微時光”未能經營下去的根本原因。</p>
<p>
[衆籌]2000元一股</p>
<p>
2012年2月13日，Kevin在豆瓣上發帖衆籌，2000元一股，尋找股東。他將咖啡館定位成：夢想，以及友誼，合肥人的地標，休憩的地方。“衆籌”的帖子一發出，得到了很多人的響應，一個月的時間，就招募了近30名股東。他們最終選址在包河萬達附近的銀屏巷，咖啡館股東確定爲86人。 2000元一股，每人持股從1股到10股不等。股東們來自安徽各地，也有人來自外省，職業多種多樣，有白領有私企老闆也有學生。大家一起選舉了股東委員會，一共5個成員。</p>
<p>
咖啡館的裝修風格、經營方式都是由股東委員會投票決定，經營則是請職業經理人擔任店長，股東不參與，同時請了專業的財務人員，定期對大家公佈賬目。</p>
<p>
[散夥] 意見不一股東投入未能收回</p>
<p>
“微時光”並沒有書面協議，連接起股東的是信任和口頭協議，大家的交流都是通過QQ等網絡平臺。衆籌之處，一切交給職業經理人來經營，也是爲了避免人多嘴雜。然而，“微時光”還是沒能逃脫“家長太多”的命運。</p>
<p>
近日，記者發現，微時光的微博、微信早已未更新，店裏的電話也因爲未交費而停機。記者輾轉找到當時股東委員會的成員之一貓爹。貓爹是第一批加入衆籌的股東之一，他一共投入了5股，10000元。</p>
<p>
“當時加入，也是覺得有意思，志同道合的人在一起，謀一個事業。”貓爹介紹，股東們都非常有熱情，來自各行各業的人都用自己的特長來爲咖啡店做一些事情，大家還輪流安排場地組織學習，每週一次會議。</p>
<p>
即使這樣，“微時光”開業後不到半年轉手。直到現在，股東們也沒有拿回成本投入。</p>
<p>
[原因] 口頭約束每個人都要做主</p>
<p>
“微時光”建立之初，營業執照、租賃合同等都是按照法律法規走的，也諮詢了律師關於“衆籌”的情況。</p>
<p>
最大的問題在於每個人都憑着一腔熱情在做這件事情，人人都覺得自己是店鋪的一員，希望店鋪有自己的元素。貓爹介紹，從選址到開業就用了8個月時間，裝修期間就有很多股東到現場提意見，雖然按照協議外聘了設計師、股東不參與裝修和經營，但由於人多意見太雜，很多事情沒有辦法進行下去。</p>
<p>
這種情況下，股東委員會也很無奈，也未能及時作出決定。最後，店鋪出來的風格多樣，在經營上也面臨着同樣的問題。咖啡館開業半年，沒能及時回本，很多股東坐不住了，開始轉股。半年之後，咖啡館最終轉手。轉手之後，原先大家的投入也沒能拿回。“大家比較失望，雖然心裏不愉快，但由於出的錢不多，就想着花錢買個夢想落空算了。”現在，86個股東各自做着自己的事情，很少有人再提起“微時光”。</p>
<p>
[律師]衆籌成風糾紛或在明後年集中</p>
<p>
安徽盛鴻律師事務所負責人程林律師介紹，很多衆籌項目的目的是爲了獲取資金，市民們在選擇時一定要注意釐清。</p>
<p>
具體到“微時光”，股東們有聘請專業財務的意識，但最後還是因爲種種原因造成投資拿不回來。在程林看來，這是一個未造成嚴重後果的案例，因爲股東們的出發點是“夢想”而不是“賺錢”，且投資也不多。</p>
<p>
但是，現在有很多衆籌項目，所涉資金數額很大，且股東沒法瞭解和干涉財務狀況，容易陷入騙局。另外，現在衆籌的相關法律法規也不健全，不排除一些人打“擦邊球”進行“非法融資”。</p>
<p>
程林表示，一個事件的後果具有延後性，衆籌是新鮮事物，其糾紛可能在明後年集中爆發。</p>
<p>
當然，衆籌不是不可碰，市民們可以選擇有充分了解的項目，並在融資主體商業信譽很好且能隨時掌握財務狀況的情況下，參與衆籌。</p>
<p>
[衆籌]翻譯自國外crowdfunding一詞，即大衆籌資或羣衆籌資，由發起人、跟投人、平臺構成。具有低門檻、多樣性、依靠大衆力量、注重創意的特徵，是指一種向羣衆募資，以支持發起的個人或組織的行爲。</p>
